Please read these terms carefully before engaging Veldra's services. By proceeding, you acknowledge that you have read and understood the conditions set out below.
These Terms and Conditions ("Agreement") govern the professional relationship between Veldra ("we", "us", "our", "the Firm") and any individual or organization ("Client", "you", "your") that engages our consulting services. This Agreement is governed by the laws of the Kingdom of Thailand.
Definitions
- "Service" refers to any consulting engagement offered by Veldra, including workshops, advisory programmes, and partnership reviews.
- "Client" refers to any organization or individual that has requested or is receiving a Service from Veldra.
- "Agreement" means these Terms and Conditions along with any supplementary engagement letter or scope of work document.
- "Deliverable" refers to written reports, workbooks, frameworks, or other outputs produced by Veldra as part of an engagement.
- "Confidential Information" means any non-public information shared by either party in the course of an engagement.
- "Engagement Letter" refers to the written document setting out the specific scope, timeline, and fees for a particular Service.
Acceptance of Terms
By submitting an inquiry form, signing an Engagement Letter, or making a payment to Veldra, the Client confirms acceptance of this Agreement in its entirety.
- The Client must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of their organization.
- Where the Client is an organization, the individual submitting the inquiry or signing the Engagement Letter represents that they have authority to bind that organization.
- These terms apply to all Services unless otherwise superseded by a written Engagement Letter signed by both parties.
Service Description
Veldra provides business consulting services in the areas of strategic positioning, change management, and annual strategy partnerships. Current service offerings include:
- Competitive Positioning Workshop — A two-day facilitated workshop for leadership and marketing teams covering competitive landscape mapping, value proposition refinement, and messaging framework development. Delivered in Bangkok or via agreed-upon format.
- Change Management Advisory — An eight-week advisory engagement supporting organizations through structural, technological, or cultural transitions. Includes bi-weekly reviews and a final transition report.
- Annual Strategy Review Partnership — A recurring annual engagement with quarterly check-ins and a full-day strategic review session each year.
Services are available to organizations operating within Thailand and, on a case-by-case basis, internationally. All engagements are conducted in English unless otherwise agreed.
Engagement Process
A formal engagement begins only upon both parties signing an Engagement Letter that specifies the scope of work, timeline, deliverables, and applicable fees.
- Exploratory conversations and initial consultations do not constitute a binding engagement.
- Scope changes requested after the Engagement Letter is signed will be assessed and may result in revised timelines or fees.
- Veldra reserves the right to decline any engagement at its discretion, without obligation to provide a reason.
- The Client is responsible for ensuring that relevant stakeholders and resources are available as required by the agreed engagement schedule.
Client Responsibilities
The quality of consulting outcomes depends significantly on the Client's active participation and candid engagement. Clients are expected to:
- Provide accurate, complete, and timely information requested by the consulting team.
- Make key personnel available for workshops, interviews, and review sessions as scheduled.
- Communicate promptly regarding schedule changes, emerging concerns, or shifts in organizational context.
- Use deliverables and outputs only for the internal business purposes described in the Engagement Letter.
- Refrain from sharing confidential Veldra materials, methodologies, or frameworks with third parties without written consent.
- Conduct interactions with the consulting team in a professional and respectful manner.
Intellectual Property
All methodologies, frameworks, facilitation tools, templates, and proprietary materials used or developed by Veldra remain the intellectual property of Veldra.
- Deliverables produced specifically for the Client (such as custom workshop workbooks and transition reports) are licensed to the Client for internal use only upon full payment of applicable fees.
- The Client may not reproduce, distribute, or commercialize Veldra's proprietary methodologies or materials without prior written consent.
- Any pre-existing intellectual property brought to the engagement by the Client remains the property of the Client.
- Veldra may use anonymized engagement insights for internal research and service improvement purposes, provided no identifying information is disclosed.
Payment Terms
All fees are denominated in Thai Baht (THB) and are set out in the applicable Engagement Letter. Standard service fees are as follows:
- A deposit of 50% is required before work commences, with the remaining balance due upon completion of the engagement or as specified in the Engagement Letter.
- Invoices are due within 14 calendar days of issuance. Late payments may incur interest at 1.5% per month.
- Fees are exclusive of VAT (currently 7% in Thailand), which will be added to invoices where applicable.
- Expenses agreed in advance (travel, venue costs, materials) will be billed separately at cost.
- Veldra does not offer refunds once an engagement has commenced, except in the event of Veldra's material breach of its obligations. Refund requests for unfulfilled work prior to commencement will be assessed on a case-by-case basis.
Confidentiality
Both parties acknowledge that the consulting relationship may involve the exchange of sensitive organizational information. Each party agrees to:
- Hold the other party's Confidential Information in strict confidence and not disclose it to any third party without prior written consent.
- Use Confidential Information solely for the purposes of the engagement.
- Apply reasonable security measures to protect Confidential Information from unauthorized access or disclosure.
- These obligations survive the conclusion of the engagement for a period of three (3) years.
- Confidentiality obligations do not apply to information that becomes publicly available through no fault of the receiving party, or that must be disclosed under applicable law or court order.
Disclaimers
Veldra's consulting services are provided in good faith and are based on information available at the time of the engagement. The following should be understood clearly:
- Veldra provides advisory and facilitation services; final decisions remain with the Client. Veldra does not make decisions on the Client's behalf.
- Business outcomes depend on many factors outside Veldra's control. No specific financial, operational, or competitive results are promised.
- Insights and recommendations are based on information provided by the Client and publicly available data, and may not account for all organizational circumstances.
- Veldra is not a legal, financial, regulatory, or tax advisory firm. Clients should seek appropriate professional advice for matters requiring those specializations.
Limitation of Liability
To the extent permitted by Thai law:
- Veldra's total aggregate liability in connection with any engagement shall not exceed the fees paid by the Client for the specific service giving rise to the claim.
- Veldra shall not be liable for indirect, consequential, special, or incidental losses, including loss of revenue, loss of profits, or loss of business opportunity.
- These limitations apply regardless of whether the claim arises in contract, tort, or otherwise, and even if Veldra has been advised of the possibility of such loss.
Indemnification
The Client agrees to indemnify and hold harmless Veldra, its principals, advisors, and staff from and against any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
- The Client's breach of this Agreement or any Engagement Letter.
- The Client's misuse of Deliverables or Veldra materials.
- False or materially misleading information provided to Veldra during an engagement.
- Any violation of applicable law by the Client in connection with the services.
Termination
- Either party may terminate an engagement by providing 14 calendar days' written notice, subject to payment of fees for work completed to the date of termination.
- Veldra may terminate an engagement immediately if the Client breaches a material obligation under this Agreement or engages in conduct that makes continuation impractical.
- On termination, each party shall return or destroy Confidential Information of the other party upon request.
- Provisions regarding confidentiality, intellectual property, payment obligations, and limitation of liability survive termination.
Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the Kingdom of Thailand.
- In the event of a dispute, the parties agree to first attempt to resolve the matter through informal discussion in good faith.
- If the matter is not resolved within 30 days of written notice, the parties may seek mediation through a mutually agreed mediator in Bangkok.
- If mediation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
- Nothing in this section prevents either party from seeking injunctive or emergency relief where necessary.
General Provisions
- Entire Agreement: This Agreement, together with any applicable Engagement Letter, constitutes the complete agreement between the parties and supersedes all prior discussions or arrangements.
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by either party to enforce any provision shall not constitute a waiver of that party's right to enforce it later.
- Assignment: The Client may not assign or transfer rights or obligations under this Agreement without Veldra's written consent. Veldra may engage sub-contractors as needed, subject to confidentiality obligations.
- Notices: Formal notices under this Agreement shall be delivered in writing via email or registered post to the addresses specified in the Engagement Letter.
- Language: This Agreement is written in English. In the event of any conflict with a translation, the English version shall prevail.
Changes to These Terms
Veldra may update these Terms and Conditions from time to time. When we do, we will:
- Update the "Last Updated" date at the top of this page.
- Where changes are material, notify existing Clients by email at least 14 days in advance.
- Continued use of or engagement with Veldra services following the effective date of changes constitutes acceptance of the revised terms.
